Central Heating Station  of Bishkek dated from 20 May 2009 №313  State Committee of the Kyrgyz Republic on state property management  (hereinafter referred as “State Committee” ) invites  strategic foreign and local investors to take part in investment competition on realization of state stock of shares  of the open joint stock company  “Bishkekteploset” (776873392 shares – 80, 49 %  of authorized capital of the joint stock company).

1.1. Information about open joint stock company “Severelectro”

1. Full name: open joint stock company “Severelectro”.
2. Location: Kyrgyz Republic, Chui region, Alamedin district, Lebedinovka village, Chkalova str. 3
3. Information about open joint stock company “Severelectro” – heat distributive company of the Kyrgyz Republic, established as the result of reorganization of former monopolist of power branch of the republic joint stock company “Kyrgyzenergo”,  on the base of distributive networks of Chui, Bishkek and Talas enterprises of electric networks (EEN). The State represented by State Committee on State property of the Kyrgyz Republic has share in authorized capital at the rate of 80, 49 %, 13, 16 % shares belong to legal and individual persons.

9. Initial cost  of the state stock of shares of the open joint company “Severelectro” as of  1 January 2008 amounts to 4 817 500 000 (four billions eight hundred seventeen five hundred thousands) soms.

2. Main conditions and requirements of competition  holding.

Participant of  the competition is obliged to preserve main profile of production activity of the open joint stock company “Severelectro” – realize transportation, heat energy distribution and realize investments  at the rate not less than 64, 0 mln. (sixty four  mln.)  of U.S. dollars into modernization of electric networks and energy equipment, including for the sum no less than 4, 0 mln. (four mln) U.S. dollars in 2009.

7. Applicants for taking part in investment competition can be legal and individual persons, residents and non-residents of the Kyrgyz Republic.
Competition committee will consider the common reputation of purchasers and by its own decision can put aside any purchaser that do not meet requirements of competition and has no perfect business standing. State Committee on state property of the Kyrgyz Republic and Competition committee reserve the right to reject any application. It does not lead to appearance of any commitment as regards to rejected  Participant.    

3. Order of investment competition holding.

For obtaining  competition documents Package Applicant should address in the  written form to the State Committee on state property of the Kyrgyz Republic and pay cost of competition documents Package in the sum of 40 000 (forty thousand) soms or in U.S. dollars at the rate of National Bank of the Kyrgyz Republic as of date of payment in cash or noncash forms. Investment competition is conducted in two stages:

One person has the right to apply only once, and present only one offer at the price of state package of shares of the open joint stock company “Severelectro”, which is being sold on investment  competition.

Offers, containing price low than initial price of sales, are not considered. 

In case of equality of offers on price for privatized objects, a winner is recognized that participant whose investment offer was  accepted as the best one.

Winner of the investment competition will become participant, who proposed the best variant on price and investment conditions.

Participant, recognized as a winner of investment competition, undertakes obligations  as regards to the  open joint stock company “Bishkekteploset”, indicated in points 6 and 7 of the section 2 of present informational message.

4. List of documents for participation in investment competition and requirements for preparation of documents.

The following documents are presented by Applicants for the participation in competition:

1.  Standard application form.
2. Letter of trust for the name of authorized representative;
3. Notarized in established order copies of constituent documents;
4. Notarized copy of certificate on state registration of legal entity;
5. Certificate of the state body on financial market on registration  of security papers (for joint stock companies). This requirement is not obligatory for foreign applicant- non-resident of the Kyrgyz Republic.
6. Notarized copies of licenses, issued by state bodies of country of registration of applicant to the right to realize activity in fuel and energy branch – if such available.
7. Reference of tax organization, confirming absence of expired liability on tax payments into budgets of all levels as of last quarter prior to the date of filling of application. This requirement is not obligatory for foreign applicant – nonresident of the Kyrgyz Republic.

8. Balance sheet with appendixes for the last 3 years (in case when legal entity exist no less than 3 years – for the period of existence).

9. Investment offer (business-plan), envisaging concrete activities on development of the open joint stock “Severelectro” with indicating of terms and volumes of contributing investments.

10. Offer on price for state package of shares of the open joint stock company “Severelectro”

Copy of the payment order, confirming payment of guarantee fee into settlement account of   the State Committee on state property no later than 15.00  of July 7, 2009 at the rate of 481 750 000(four hundred eighty one mln. seven hundred fifty thousands soms – 10 percent from the total sum of initial cost of the realized object to the following settlement account:

In case of applying for participation  in competition by foreign citizen, the documents, specified in points 2-4  of the section 4 of present informational message should be legalized in established order.

In case of translation of above mentioned documents into state and/or official languages of the Kyrgyz Republic, translation is notarized in established by the legislature of the Kyrgyz Republic order.

State Committee on State property of the Kyrgyz Republic and Competition commission have the right to inquire additional information if necessary and send presented documents for the expertise.

 

Investment competition is being conducted in accordance with Rules of competition holding and Regulations for Applicants for participation in competition, approved by Competition commission.

Order and terms of competition holding among investors, order of organization  and activity of Competition commission, order of interaction of competition participants, detailed information to the content of competition offer, order and terms of competition offers considering, detailed requirements to the preparation of necessary documents, standard forms of documents, necessary for Applicant to apply for participation in the competition, additional information is reflected in Rules of competition holding and in instructions for Applicants, approved by Competition commission.
